商事法律中心服务领域：

分为六个部门，负责劳动人事以外的企业市场运营全过程所发生的法律事务，并解决与之相关的各种矛盾和纠纷。
主要法律服务种类：
1 、向客户提供有关民商事务的法律咨询意见，出具法律意见书
2 、受客户委托办理各种非诉讼法律事务
3 、代理当事人通过协商、谈判、仲裁或诉讼解决纠纷和争议
4 、对客户的重大商事行为进行见证
5 、受聘担任客户的单项事务或常年法律顾问

*投资与财税法务部

业务范围包括但不限于：

•  为外资进入中国提供市场准入、法律模式、股权结构、优惠政策、税收等的法律和政策咨询

•  为外国投资者就中外合资企业的中方合作者的选择与资质方面进行审慎调查，出具审慎调查报告

•  协助外国投资者设立外商独资企业和中外合资、合作企业、代表处，并起草或审阅项目建议书、可行性研究报告、合资（合作）协议、章程等法律文书

•  办理审批立项、生产及技术的许可、外汇申请、生产或办公场地的选址与确定、工商登记、税务登记等整套流程

•  办理包括增资、经营范围变更、名称变更等工商登记事项变更

•  参与企业的改制、资产重组、股权转让、融资上市等法律活动，拟定相关的法律文件

•  为企业破产提供法律服务，参与破产企业的清算、资产评估、审计、税务、工商登记的注销，使投资者顺利退出市场

•  清算过程中的诉讼和仲裁

•  为企业提供合理合法的税制结构建议，协助企业实现利润最大化

* INVESTMENT AND TAXATION LEGAL DEPARTMENT

Services including but not limited to:

•  Advising on laws and policies of market access, legal model, shareholding structure, favorable condition, taxation and etc

•  Undertaking due diligence

•  Assisting in establishment of WOFE, JV, CJV and rep. office, drafting reviewing and revising legal documents, for instance, Proposal Paper of Project, FSR, JV (CJV) agreements, AoA and etc.

•  Undertaking the whole procedures of application of License of Approval, product and technology licenses, foreign exchange, registration with SAIC and Tax bureau

•  Change Registration with SAIC, including Capital Increase, Change of Business Scope and Company Name and etc.

•  Attending the reorganization, assets transfer, financing and IPO of companies and drafting related legal documents

•  Attending liquidation, assets appraisal, auditing, taxation of companies and cancellation of SAIC registration

•  Litigation & arbitration in the process of liquidation
